USER AGREEMENT AND TERMS OF SERVICE - ASKSOME.ONE

1. ACCEPTANCE OF TERMS

By creating an Account on AskSome.One, accessing the platform through any device, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy, Code of Conduct, Copyright Policy, and Fees and Payments policies (collectively, the "Agreements").

If you do not agree to these Terms, you must not use AskSome.One.

AskSome.One reserves the right to modify these Terms at any time. Material changes will be notified to you via email at least 30 days before taking effect. Continued use of the platform constitutes acceptance of the updated Terms.

2. DEFINITIONS

"Account" means the user account registered by you on AskSome.One.

"Adviser" means a User who offers and provides advice services to Seekers on the platform.

"Advice Request" means a posted request for advice, including title, description, budget, and preferred time slots.

"Advice Session" means the scheduled audio/video call between a Seeker and an Adviser.

"Application" means a proposal submitted by an Adviser in response to an Advice Request, including an application letter, proposed fee, and selected time slots.

"AskSome.One," "we," "us," "our" means the operator of the AskSome.One platform.

"Content" means any text, descriptions, images, recordings, transcripts, feedback, and ratings posted or created on the platform.

"Dispute" means a disagreement between parties regarding an Advice Session, payment, quality, or conduct.

"Funds" or "Payments" mean monetary value exchanged on the platform for advice services.

"Platform" means the AskSome.One website, mobile applications (iOS/Android), and all related services.

"Seeker" means a User who posts an Advice Request and purchases advice services.

"Service Fee" means the fee charged by AskSome.One, currently 20% of the total transaction value.

"Stripe Connected Account" means the Adviser's payment account linked to Stripe for receiving payouts.

"User" means any individual who registers an Account on the platform.

"User Contract" means the binding agreement formed between a Seeker and Adviser when the Seeker accepts an Application.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 AGE REQUIREMENT

You must be at least 18 years of age to create an Account and use AskSome.One. By registering, you represent and warrant that you are 18 or older.

3.2 ACCOUNT REGISTRATION

To register an Account, you must provide:

- Legal name

- Valid email address

- Working phone number (for Advisers)

- Address and location information

- Password and profile information

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately if you suspect unauthorized access to your Account.

3.3 ACCOUNT ACCURACY

You represent and warrant that all information provided is accurate, current, and complete. AskSome.One reserves the right to verify information and suspend or terminate Accounts with false, misleading, or fraudulent information.

3.4 ONE ACCOUNT PER PERSON

Each individual may maintain only one Account. Multiple Accounts or fraudulent Accounts may result in immediate termination without refund.

4. ADVISER VERIFICATION AND VALIDATION

4.1 VERIFICATION REQUIREMENTS

Before an Adviser can apply to Advice Requests, they must successfully complete the following verification process:

IDENTITY VERIFICATION:

- Submit a clear, legible government-issued photo ID (Passport, Driver's License, or equivalent national ID)

- Provide proof of address (utility bill, bank statement, or government document)

- Submit to Know Your Customer (KYC) and Anti-Money Laundering (AML) screening

- Verification is processed through Stripe Identity or similar third-party service

PROFILE VALIDATION:

- Complete a detailed professional bio, including relevant expertise and credentials

- Specify areas of expertise (currently limited to Travel Advice)

- Provide references or social media profiles for verification of credibility

- AskSome.One may verify information through LinkedIn, professional websites, or direct contact

BACKGROUND SCREENING:

- AskSome.One may conduct background checks as permitted by law to assess suitability

- Advisers with certain criminal convictions or violations may be rejected at our sole discretion

4.2 RIGHT TO MODIFY VERIFICATION PROCESS

AskSome.One reserves the right to modify, expand, or change the verification process and criteria at any time, at our sole discretion, without prior notice. Changes may be implemented to:

- Comply with new regulations

- Improve quality and safety

- Adapt to platform growth

- Respond to fraud or abuse

Existing Advisers must comply with new requirements within 30 days of notification or their Account may be suspended.

4.3 VERIFICATION DECISION AND APPEALS

AskSome.One reserves the right to:

- Approve or reject any Adviser application at our sole discretion

- Suspend or terminate verification at any time

- Not provide detailed reasons for rejection or termination

If your verification is denied or your Account is suspended due to verification issues, you may appeal by contacting contact@m.asksome.one within 14 days with additional information or documentation.

4.4 ONGOING VERIFICATION

Advisers must maintain verification credentials. If verification information becomes outdated or is flagged during periodic re-verification, AskSome.One may suspend the Account pending updated verification.

5. PLATFORM ROLE AND MARKETPLACE MODEL

5.1 ASKSOME.ONE AS NEUTRAL VENUE

AskSome.One provides a platform that connects Seekers with Advisers. AskSome.One is not a party to any arrangement between Users. The relationship and agreement for advice services ("User Contract") is formed directly between the Seeker and Adviser, not with AskSome.One.

5.2 NO PROVIDER STATUS

AskSome.One does not provide advice itself and is not responsible for:

- The quality, accuracy, or completeness of advice provided by Advisers

- The suitability of advice for your circumstances

- Any decisions or actions taken based on advice received

- Any damages or losses arising from reliance on advice

5.3 TRAVEL ADVICE DISCLAIMER

Currently, AskSome.One focuses exclusively on Travel Advice. All advice is informational and general in nature.

IMPORTANT: Seekers must independently verify all critical travel information through official sources, including:

- Visa and entry requirements (government websites)

- Travel advisories and safety information (official government sources)

- Health requirements and vaccinations (health authorities)

- Travel insurance and legal requirements (relevant authorities)

AskSome.One does not provide legal, financial, medical, or professional advice. If you require advice from a licensed professional, consult appropriate authorities.

6. USER RESPONSIBILITIES AND CONDUCT

6.1 LAWFUL USE

You agree to use AskSome.One only for lawful purposes. You must not use the platform to:

- Engage in harassment, abuse, or discrimination

- Impersonate others or misrepresent your identity

- Circumvent verification or security measures

- Create fraudulent Accounts or content

- Violate anyone's rights or applicable law

6.2 PROFESSIONAL CONDUCT

All Users must maintain professional and respectful conduct on the platform. This includes:

- Treating others with respect and courtesy

- Communicating clearly and honestly

- Punctuality to scheduled sessions

- Avoiding harassment or inappropriate behavior

Conduct violations result in warnings, suspension, or permanent termination of your Account.

6.3 CONTENT RESTRICTIONS

You agree not to post or share:

- Explicit, pornographic, or sexually offensive content

- Violent, hateful, or discriminatory content

- Spam, malware, or illegal content

- Content that infringes on others' copyright or intellectual property

- Personal data of others without consent

- False or misleading information

7. AI TOOLS AND RECOMMENDATIONS

7.1 AI LIMITATIONS

AskSome.One uses AI to provide features including:

- AI-assisted writing suggestions and auto-complete for Advice Request descriptions

- AI-generated match scores recommending Advisers to Seekers

- AI summaries of Advice Sessions

- Fraud detection and platform moderation

7.2 ACCURACY DISCLAIMER

You acknowledge that:

- AI-generated content and recommendations may contain errors, inaccuracies, or omissions

- AI suggestions are for convenience only and may not be suitable for your needs

- You are responsible for reviewing all AI-generated content before relying on it

- AskSome.One is not liable for errors or inaccuracies in AI-generated content

7.3 BIAS AND FAIRNESS

AskSome.One is committed to reducing bias in AI systems. However, no system is perfect. If you believe AI match scores or recommendations are biased or discriminatory, please report the issue to contact@m.asksome.one.

7.4 RIGHT TO OPT OUT

You may opt out of AI-based recommendations, though this may limit platform functionality. To opt out, contact contact@m.asksome.one.

8. THE ADVICE REQUEST AND MATCHING PROCESS

8.1 CREATING AN ADVICE REQUEST

When posting an Advice Request, you must provide:

- Clear title (topic/theme of the advice needed)

- Detailed description of the situation and what you seek

- Realistic budget for the session

- Two preferred date/time slots when you are available

- Duration (typically 30 minutes to 1 hour)

8.2 REQUEST ANONYMITY

When posting an Advice Request, your personal details are not visible to Advisers, including:

- Your full name (displayed as "Traveler" or abbreviation)

- Your email address

- Phone number

- Exact home location (general region may be shown)

This protects your privacy while Advisers consider your request.

8.3 AI MATCHING

AskSome.One uses AI to generate match scores comparing Adviser profiles and expertise to your Advice Request. Advisers are recommended to you based on:

- Expertise relevance (Advisers who have travel experience in your destination/situation)

- Availability (Adviser availability matching your preferred slots)

- Previous ratings (Advisers with higher ratings are ranked higher)

- Adviser response time and engagement

8.4 REQUEST VISIBILITY WINDOW

Your Advice Request will be visible to Advisers for 14 days or until you accept an Application, whichever comes first. After 14 days, the request expires and is removed from active listings.

9. APPLICATION PROCESS (ADVISER PERSPECTIVE)

9.1 SUBMITTING AN APPLICATION

Advisers may submit Applications to Advice Requests they can help with. Each Application must include:

- Application Letter: A personally written (non-AI assisted) letter explaining why the Adviser is suited to help, relevant experience, and approach

- Proposed Fee: The fee the Adviser proposes (may be at, above, or below the Seeker's stated budget)

- Proposed Time Slots: One or more of the Seeker's available time slots (Adviser confirms availability)

9.2 NON-AI REQUIREMENT FOR APPLICATIONS

Applications must be personally written by the Adviser and not using AI tools. This ensures genuine, personalized responses that demonstrate understanding of the Seeker's needs.

AskSome.One reserves the right to:

- Reject Applications that appear AI-generated or template-based

- Terminate Adviser Accounts for repeated violations of this requirement

- Implement detection tools to identify AI-generated applications

9.3 APPLICATION VISIBILITY

Users may view:

- All Applications submitted to their Advice Request

- Adviser's profile, ratings, expertise, and previous feedback

- Proposed fees and time slots

9.4 APPLICATION EDITING

Advisers may edit or withdraw Applications before the Seeker accepts, but may not edit after acceptance.

10. ACCEPTANCE AND CONTRACT FORMATION

10.1 BOOKING PROCESS

When a Seeker accepts an Application, a User Contract is formed between the Seeker and Adviser. At the moment of acceptance:

SEEKER'S OBLIGATIONS:

- Complete payment of the full agreed-upon fee (via Stripe; funds held in escrow)

- Confirm the Advice Session date and time

ADVISER'S OBLIGATIONS:

- Confirm participation and availability

- Appear for the Advice Session at the scheduled time

10.2 CONFIRMATION AND COMMUNICATIONS

Both parties receive a confirmation email with:

- Session date, time, and duration

- Video/audio call link or access instructions

- Payment receipt (Seekers only)

- Any specific preparation or materials needed

11. CANCELLATIONS, RESCHEDULING, AND NO-SHOWS

12. ADVICE SESSIONS

12.1 SESSION FORMAT

Advice Sessions are conducted via:

- Video call (recommended for best experience)

- Audio call (if video is unavailable)

- Screen sharing (if needed for demonstration or visual aids)

Sessions typically last 30-60 minutes as agreed.

12.2 RECORDING AND CONSENT

By participating in an Advice Session, both parties explicitly consent to:

- Full audio and/or video recording

- Automatic transcription

- AI processing of the transcript to generate summaries

- Retention of the recording and transcript (see Privacy Policy for details)

12.3 PROFESSIONAL CONDUCT

During sessions, both Seeker and Adviser must:

- Maintain professional and respectful communication

- Avoid harassment, discrimination, or abusive behavior

- Follow the Code of Conduct

- Not engage in off-platform exchanges or payments

12.4 SESSION QUALITY

AskSome.One is not responsible for:

- Technical issues (internet connectivity, audio/video quality, platform glitches)

- External interruptions or third-party interference

- Inappropriate behavior by the other party (though we investigate complaints)

13. POST-SESSION: SUMMARIES, FEEDBACK, AND RATINGS

13.1 AI SUMMARY

Within 24 hours of session completion, both parties receive:

- An AI-generated summary of the key points discussed

- Recommended next steps or action items

- A non-editable transcript of the session

13.2 FEEDBACK AND REVIEWS

After a session, both Seeker and Adviser are invited to:

- Rate the other party on a scale of 1-5 stars

- Provide written feedback (200-500 words)

- Flag conduct violations or disputes

13.3 PUBLIC REVIEWS

Adviser reviews and ratings are displayed on their public profile and visible to Seekers. Seeker feedback is visible to the Adviser but not publicly displayed.

13.4 REVIEW DISPUTES

If a party disagrees with content in a review or rating, they may request review removal. AskSome.One will investigate and remove reviews that:

- Are factually false or verifiably inaccurate

- Contain personal attacks or defamation

- Violate the Code of Conduct

14. WARRANTY DISCLAIMER

14.1 "AS IS" BASIS

The AskSome.One Platform and all services are provided "as is" and "as available" without any warranty of any kind, express or implied.

14.2 SPECIFIC DISCLAIMERS

AskSome.One makes no warranty that:

- Quality: The advice provided by Advisers meets any standard of quality, accuracy, or completeness

- Suitability: Advice is suitable for your particular circumstances or goals

- Accuracy: Information, descriptions, or data on the platform is accurate or error-free

- Uninterrupted Service: The platform will operate without interruption or error

- Compatibility: The platform is compatible with your device or software

- Results: Using the platform or advice will produce any particular result

14.3 THIRD-PARTY CONTENT

AskSome.One makes no warranty regarding:

- Content posted by other Users

- Third-party services linked on the platform

- Accuracy of Adviser profiles or claims

- Reliability of Advisers

14.4 DISCLAIMER OF IMPLIED WARRANTIES

Any implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, or NON-INFRINGEMENT are expressly disclaimed.

15. LIMITATION OF LIABILITY

15.1 GENERAL LIMITATION

To the maximum extent permitted by law, AskSome.One shall not be liable for:

- Any damages arising from use of the platform or advice received

- Lost profits, lost revenue, lost opportunity, or lost data

- Indirect, incidental, special, consequential, or punitive damages

- Damages for missed flights, denied visas, travel accidents, or any travel-related losses

- Damages for reliance on incorrect advice or information

15.2 LIABILITY CAP

AskSome.One's total liability to you is limited to the fees you paid to AskSome.One in the 12 months preceding the claim.

If you paid no fees (e.g., you are an Adviser and received no payouts), our liability is limited to $0 (i.e., no liability).

This cap applies to all claims, whether in contract, tort, or otherwise.

15.3 EXCEPTIONS

Some jurisdictions do not allow limitations of liability for certain claims (e.g., death, personal injury, fraud). In such cases, the limitation will apply to the maximum extent permitted by law.

16. INDEMNIFICATION

You agree to indemnify, defend, hold harmless, and reimburse AskSome.One, its directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable lawyers' fees) arising from:

1. Your use of the platform or services in a manner not contemplated by these Terms

2. Your violation of these Terms or any applicable law or regulation

3. Your Content, including any infringement of third-party rights

4. Your conduct toward other Users, including harassment, discrimination, or fraud

5. Your advice or representations to other Users

6. Claims by third parties that you owe them money or caused them harm through the platform

This indemnification applies whether or not AskSome.One knew of or could have prevented the violation.

17. DISPUTE RESOLUTION

17.1 INTERNAL MEDIATION

If you have a dispute with another User or with AskSome.One, you agree to first attempt to resolve the issue informally by:

1. Notifying the other party and describing the dispute

2. Engaging in good-faith discussion to reach resolution

3. Using the Platform's Dispute Center to document the issue and seek resolution

17.2 ASKSOME.ONE INTERVENTION

If informal resolution fails, AskSome.One may intervene by:

- Reviewing session recordings, transcripts, payment records, and communications

- Investigating conduct violations or fraud

- Making a binding determination on matters including:

* Refunds or fee adjustments

* Release or withholding of funds in escrow

* Conduct violations

* Liability for damages

AskSome.One's decision is binding on both parties. AskSome.One will communicate its decision within 14 days.

17.3 ARBITRATION AND JURISDICTION

If mediation and AskSome.One intervention do not resolve the dispute, any legal action shall be:

- Governed by the laws of Victoria, Australia (without regard to its conflict of law provisions)

- Brought exclusively in the courts of Victoria, Australia

- Binding arbitration: If requested by either party, the dispute shall proceed to binding arbitration under Australian Arbitration Rules

By agreeing to these Terms, you:

- Consent to Victorian jurisdiction and venue

- Waive any objection to venue

- Agree to arbitration as an alternative to litigation

- Agree that each party bears its own legal costs unless the arbitrator awards costs

17.4 CLASS ACTION WAIVER

You agree that any dispute must be brought in your individual capacity, not as a plaintiff or class member in a class action or representative action.

18. INTELLECTUAL PROPERTY RIGHTS

18.1 PLATFORM IP

All rights, title, and interest in and to:

- The AskSome.One Platform (website, apps, code)

- Software, algorithms, and technology

- Design, layout, graphics, and artwork

- Trademarks and logos

- AI models and match scores

...are the exclusive property of AskSome.One and its licensors. No license or use rights are granted to you except as explicitly permitted in these Terms.

18.2 USER CONTENT OWNERSHIP

You retain ownership of content you create (Advice Request descriptions, application letters, feedback) but grant AskSome.One:

- License to Use: A worldwide, non-exclusive, royalty-free license to use, display, modify, adapt, publish, and distribute your content for platform operation

- AI Training: Limited license to use anonymized or de-identified content for AI model improvement

- Marketing: Limited license to use content in marketing materials (with anonymization where possible)

You cannot revoke this license once content is posted.

18.3 USER-GENERATED CONTENT RESTRICTIONS

By posting content, you represent and warrant that:

- You own or have the right to license the content

- The content does not infringe third-party intellectual property rights

- The content is not confidential or proprietary to others

- AskSome.One can use the content as described without liability

19. CERTIFICATE OF ADVISER EXPERTISE

Advisers may not claim professional credentials, licenses, or certifications they do not hold. AskSome.One does not verify credentials and does not represent that Advisers are licensed professionals or experts.

Users must:

- Verify Adviser credentials independently through official networks (e.g., professional regulatory bodies)

- Not rely on implied expertise or credentials

- Treat all advice as personal recommendations, not professional advice

20. ACCOUNT CLOSURE AND TERMINATION

20.1 CLOSURE BY USER

You may close your Account at any time by:

1. Logging in and selecting "Delete Account" in Settings

2. Confirming the deletion (Account is deactivated immediately)

BEFORE CLOSING YOUR ACCOUNT, YOU MUST:

- Resolve all pending disputes

- Ensure no active Advice Sessions are scheduled

- Complete any outstanding transactions

Data retention after Account closure is governed by the Privacy Policy.

20.2 TERMINATION BY ASKSOME.ONE

AskSome.One may suspend or terminate your Account immediately, without notice, if:

- Violation of Terms: You violate any provision of these Terms or other Agreements

- Conduct Violation: You violate the Code of Conduct

- Fraudulent Activity: We detect fraud, unauthorized access, or security breaches

- Verification Failure: You fail to pass or maintain verification requirements

- Harmful Conduct: Your actions may cause legal liability for AskSome.One or harm to other Users

- Abuse: You engage in harassment, discrimination, or abuse toward other Users

- Criminal Activity: You engage in illegal activity

20.3 DISCIPLINARY PROCEDURE

For less severe violations, AskSome.One may:

1. Send a written warning describing the violation

2. Suspend your Account (typically 14-30 days)

3. Require corrective action (retraining, verification, etc.)

Repeat violations may result in permanent termination.

20.4 INACTIVITY

If your Account is inactive for 12 consecutive months, AskSome.One may:

- Send a notification to your email

- Delete your Account and associated Personal Data (see Privacy Policy for exceptions)

- Transfer any unclaimed Funds to a dormant account or to charity after 18 months of inactivity

20.5 CONSEQUENCES OF TERMINATION

Upon Account termination:

- You lose access to the platform immediately

- You forfeit any unused credits or Funds

- Pending disputes are frozen (may be resolved by arbitration)

- Your public profile and reviews are archived

- Your Account data is deleted per the Privacy Policy

21. CHANGES TO THE PLATFORM

AskSome.One reserves the right to:

- Add, modify, or remove features

- Change the matching algorithm or UI/UX

- Introduce new advice categories beyond Travel Advice

- Modify pricing, Service Fees, or payment methods

- Shut down the platform (with 90 days' notice)

Users will be notified of material changes via email.

22. FORCE MAJEURE

AskSome.One is not liable for failure to perform obligations due to circumstances beyond our control, including:

- Natural disasters, pandemics, or wars

- Government actions or regulations

- Internet outages or third-party service failures

- Utility failures or infrastructure damage

23. ENTIRE AGREEMENT

These Terms, along with the Privacy Policy, Code of Conduct, Fees and Payments policy, and Copyright Policy, constitute the entire agreement between you and AskSome.One regarding your use of the platform. These Terms supersede all prior agreements, negotiations, and representations.

If any provision is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remainder of the Terms will remain in effect.

24. GOVERNING LAW AND SEVERABILITY

GOVERNING LAW: These Terms are governed by the laws of Victoria, Australia, without regard to its conflict of law principles.

SEVERABILITY: If any provision is found unenforceable, it will be reformed to the minimum extent necessary, and the remaining provisions will remain in full force.

WAIVER: AskSome.One's failure to enforce any provision does not constitute a waiver of that provision or any other provision.
